In accordance with the recommendations of the Corporate Governance Code, the Board of Directors created an Audit Committee made up of Independent Directors to review accounting policies and criteria, as well as internal control systems, and to function in coordination with the Inspector and External Auditors. In addition, the Board appointed directors to make up the Evaluation and Compensation - which reviewed organizational structure and policies on compensation - and the Finance and Planning Committee, whose responsibility was to examine financial policies and projections and evaluate investment projects in order to ensure that they were consistent with the Company´s strategic plan and with its sources of financing. The Committees met regularly and reported to the Board on their activities; their reports and recommendations were attached to the minutes of the Board meeting.

(*) Guillermo Babat has a degree in Certified Public Accountancy from the Universidad Nacional Autónoma de México (1961), and further specialized studies abroad in strategy and finance. He has experience in the fields of finance, strategy, planning, decision-making support systems and business models for maximizinc shareholders' value, among others. He has served as the national vice chairman of the Mexican Institute of Finance Executives and participated as a speaker at numerous national and international forums.
